Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zenny Books Inc. ("Zenny", "we", "us", or "our") governing your access to and use of the Zenny financial management platform, including all associated websites, applications, APIs, and content (the "Services").

By creating an account or using the Services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Services.

Mandatory laws prevail. These Terms are subject to all applicable federal and provincial laws, including PIPEDA, the British Columbia Business Practices and Consumer Protection Act, and consumer protection legislation. Where any provision of these Terms conflicts with mandatory legal requirements, the mandatory legal requirements shall prevail.

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, without regard to its conflict of law principles. The parties irrevocably submit to the non-exclusive jurisdiction of the courts of British Columbia for resolution of any disputes arising out of or in connection with these Terms.

Nothing in this Section prevents you from bringing a claim in a court of your own jurisdiction if mandatory consumer protection laws in your jurisdiction require it.

Zenny is a personal and small-business financial management platform that provides:

• Bank account connectivity and transaction sync via Plaid
• AI-powered receipt capture and data extraction
• Transaction categorization and rules engine
• Budget tracking and spending insights
• Financial goal and debt planning tools
• Invoice creation and management
• Data export and reporting

The Services are tools for financial tracking, analysis, and general information. Nothing in the Services constitutes personalized financial, investment, tax, or legal advice. The AI-powered insights, categorizations, budget recommendations, and analytics provided are informational only and are not recommendations that you should take any particular financial action.

The Services do not consider your personal financial circumstances, objectives, risk tolerance, or any other personal factors. You are solely responsible for evaluating the appropriateness of any financial decisions. You should consult with qualified financial, tax, and legal professionals before making any significant financial decisions.

Zenny is not registered as an investment adviser, financial adviser, portfolio manager, or securities dealer in any jurisdiction. Nothing in the Services should be construed as an offer or solicitation to buy or sell any financial product or security.

AI Disclaimer. AI-powered features may produce inaccurate, incomplete, or inappropriate results. AI systems can make errors, exhibit bias, and produce unverified outputs. Do not rely exclusively on AI-generated insights without independent verification. Zenny disclaims liability for errors or inaccuracies in AI-generated content.

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@zennybooks.com if you suspect unauthorized access to your account.

New accounts receive a 14-day free trial during which all paid modules are unlocked. No credit card is required to start or maintain the free trial.

Upon expiry of the 14-day trial period, your account will automatically downgrade to the free tier. You will retain access to core features (transaction import, search, categorization, and rules) at no cost. Paid modules (Bank Connections, Budgets, Financial Planning, Invoices, and AI Assistant) will become inaccessible unless you purchase a subscription.

The free trial does not automatically convert to a paid subscription and you will not be charged unless you affirmatively purchase a subscription. We will send you a reminder before your trial expires.

Paid module subscriptions are offered on a monthly basis and billed through Stripe. Current pricing is available at zennybooks.com/pricing.

Auto-renewal. Paid subscriptions automatically renew at the end of each billing period. We will send you a renewal notice at least 14 days before your renewal date stating the amount that will be charged and the renewal date. If you do not wish to renew, you must cancel before the renewal date.

Cancellation. You may cancel your subscription at any time, without penalty or further obligation, by logging into Settings → Billing and selecting "Cancel Subscription", or by contacting us at support@zennybooks.com. Upon cancellation, your paid access continues until the end of the current billing period and your account then downgrades to the free tier.

Refunds. Subscription fees are generally non-refundable except where required by applicable law. If you believe you were charged in error, contact us within 14 days.

Price changes. We may change subscription prices with at least 30 days' notice. Continued use of the paid Services after the price change constitutes acceptance of the new price.

Zenny uses Plaid, Inc. ("Plaid") to securely connect your bank accounts and retrieve transaction and account data. By connecting a bank account, you authorize Zenny to access specific financial information from your account through Plaid, including account balances, transaction history, and account details.

Your use of Plaid is subject to Plaid's privacy policy. Zenny does not sell or share your financial data retrieved through Plaid with marketers or unrelated third parties.

You may revoke Zenny's access to your bank account at any time by disconnecting the account through Settings → Bank Connections. Disconnecting will immediately prevent retrieval of new data; previously retrieved data will remain stored in accordance with our Privacy Policy.

Your data. You retain all ownership and intellectual property rights in all data you upload, input, or create through the Services ("User Data"), including receipts, transaction records, and financial information. Zenny does not claim ownership of User Data.

License to Zenny. By providing User Data, you grant Zenny a worldwide, non-exclusive, royalty-free license to access, process, store, and analyze User Data for the purpose of: (a) providing the Services to you; (b) improving and enhancing the Services; (c) generating de-identified, aggregated analytics that do not identify you; and (d) complying with legal obligations. This license continues for the duration of your account and for a reasonable archival period following account deletion.

AI-generated insights. While the underlying transaction and financial data belongs to you, the algorithmic categorizations, AI-generated insights, budget recommendations, and similar outputs generated by Zenny's systems are Zenny's intellectual property. You retain the right to access, review, export, and use this information for your personal financial management.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Services or any related systems
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means (scraping, bots, crawlers) to access or collect data from the Services without prior written permission
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to process data on behalf of third parties without authorization

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENNY BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ZENNY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZENNY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZENNY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Carve-outs. Nothing in these Terms limits either party's liability for: (a) gross negligence or wilful misconduct; (b) unauthorized access to, use, or disclosure of personal information; (c) violations of PIPEDA or other privacy law; (d) violations of applicable consumer protection legislation; (e) fraud or fraudulent misrepresentation; or (f) death or personal injury caused by negligence.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZENNY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We encourage you to contact us first at support@zennybooks.com to resolve any dispute informally.

If we cannot resolve a dispute informally, you may, at your sole discretion, choose from: (1) good-faith negotiation between the parties; (2) mediation through a mutually agreed mediator; (3) referral to the Civil Resolution Tribunal (British Columbia) or applicable small claims process; or (4) litigation in a court of competent jurisdiction.

These Terms do not require you to participate in binding arbitration or waive your right to participate in a class proceeding. In British Columbia, mandatory pre-dispute arbitration clauses and class action waivers in consumer contracts are prohibited under the Business Practices and Consumer Protection Act, as amended by Bill 4 (2025).

By you. You may close your account at any time through Settings → Account. Upon account closure, you may export your data before deletion.

By us. We may suspend or terminate your account if you materially breach these Terms, subject to providing you with reasonable notice and an opportunity to cure, except where immediate termination is necessary to protect the Services or other users.

Data after termination. Following account termination, your personal data will be deleted within 30 days, subject to legal retention requirements as described in our Privacy Policy. You may request an export of your User Data at any time before account deletion.

We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes by email or through a prominent notice in the application. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance. If you do not accept the updated Terms, you must stop using the Services and close your account.
